ZoiOne Platform Terms & Conditions

AGREEMENT TO TERMS

These Terms & Conditions (“Terms”) govern your access to and use of the ZoiOne platform, websites, applications, customer portals, software, services, content, and related technologies operated by Optenics LLC (“Optenics,” “ZoiOne,” “we,” “our,” or “us”).

By accessing or using ZoiOne, creating an account, accessing a customer portal, subscribing to a service, or otherwise interacting with the platform, you agree to be bound by these Terms.

If you do not agree with these Terms, do not access or use ZoiOne.


1. DESCRIPTION OF SERVICES

ZoiOne is a connected business operations platform that may include:

  • CRM and sales management

  • Invoicing and billing

  • Customer portals

  • Reporting and analytics

  • Products and inventory management

  • Support and service management

  • Automation workflows

  • Finance and accounting tools

  • Payment integrations

  • Industry-specific operational solutions

  • Additional services released in the future

Features may be modified, expanded, restricted, or discontinued at any time.


2. ACCOUNT REGISTRATION

To access certain services, you may be required to create an account.

You agree to:

  • Provide accurate information

  • Maintain current information

  • Keep login credentials secure

  • Restrict unauthorized access

  • Immediately notify us of suspected unauthorized access

You are responsible for all activity occurring under your account.


3. BUSINESS USE

ZoiOne is intended primarily for business and commercial use.

If you create accounts for employees, contractors, clients, customers, or other users, you are responsible for ensuring their compliance with these Terms.

Account owners and administrators are responsible for managing permissions, user access, and account security.


4. SUBSCRIPTIONS AND BILLING

Certain ZoiOne services require paid subscriptions.

By purchasing a subscription you authorize Optenics or its designated payment providers to charge the payment method on file for:

  • Subscription fees

  • User-based charges

  • Add-on services

  • Applicable taxes

  • Additional agreed services

Subscription pricing may be modified upon notice.

Unless otherwise stated:

  • Subscriptions automatically renew

  • Monthly subscriptions renew monthly

  • Annual subscriptions renew annually

You may cancel renewal at any time prior to the next billing cycle.

Previously paid fees are generally non-refundable except where required by law.


5. PAYMENT PROCESSING SERVICES

Certain payment-related functionality may be provided through ZoiBill, payment gateways, merchant processors, ACH providers, banks, card networks, or other third-party financial service providers.

Optenics and ZoiOne are not financial institutions.

Payment processing approval, underwriting, settlement, risk review, reserves, chargebacks, and merchant account decisions are determined by the applicable payment provider.

We make no guarantee that any merchant account or payment-processing application will be approved.


6. CUSTOMER DATA

You retain ownership of business data, records, files, customer information, and content you upload into the platform.

You grant Optenics a limited license to host, store, process, transmit, and display such data solely for purposes of operating and improving the platform.

You are responsible for:

  • Data accuracy

  • Legal collection of customer information

  • Required notices and consents

  • Compliance with applicable laws


7. ACCEPTABLE USE

You agree not to:

  • Violate any law or regulation

  • Infringe intellectual property rights

  • Upload malicious code

  • Attempt unauthorized access

  • Reverse engineer the platform

  • Interfere with platform operation

  • Conduct fraudulent activities

  • Abuse payment systems

  • Circumvent platform security

We reserve the right to suspend or terminate accounts violating these Terms.


8. THIRD-PARTY SERVICES

ZoiOne may integrate with:

  • Payment processors

  • Email providers

  • Communication services

  • Accounting platforms

  • CRM systems

  • Cloud services

  • Analytics providers

  • Other third-party services

Optenics is not responsible for the availability, performance, security, or policies of third-party services.

Your use of third-party services is governed by their respective terms.


9. INTELLECTUAL PROPERTY

The ZoiOne platform, software, design, code, content, trademarks, logos, documentation, and related materials are owned by Optenics LLC or its licensors.

Nothing in these Terms grants ownership rights to users.

You may not:

  • Copy

  • Sell

  • License

  • Redistribute

  • Reverse engineer

  • Modify

  • Create derivative works

without written permission.


10. FEEDBACK

Any feedback, suggestions, recommendations, feature requests, ideas, or comments submitted to Optenics may be used without restriction or compensation.

You grant Optenics a perpetual, worldwide, irrevocable, royalty-free license to use such feedback.


11. AVAILABILITY

We strive to maintain platform availability but do not guarantee:

  • Continuous operation

  • Error-free performance

  • Specific uptime levels

  • Compatibility with all devices

Scheduled maintenance, upgrades, outages, and interruptions may occur.


12. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOIONE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

OPTENICS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY

  • RELIABILITY

We do not guarantee specific business results, revenue increases, cost savings, approvals, customer acquisition, or operational outcomes.


13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTENICS SHALL NOT BE LIABLE FOR:

  • LOST PROFITS

  • LOST REVENUE

  • LOST DATA

  • BUSINESS INTERRUPTION

  • INDIRECT DAMAGES

  • INCIDENTAL DAMAGES

  • CONSEQUENTIAL DAMAGES

  • SPECIAL DAMAGES

  • PUNITIVE DAMAGES

ARISING FROM OR RELATED TO USE OF THE PLATFORM.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO OPTENICS DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless:

  • Optenics LLC

  • ZoiOne

  • ZoiBill

  • Officers

  • Directors

  • Employees

  • Contractors

  • Affiliates

from claims, damages, liabilities, costs, and expenses arising from:

  • Your use of the platform

  • Your data

  • Your customers

  • Your violation of these Terms

  • Your violation of law


15. TERMINATION

Optenics may suspend or terminate access:

  • For violations of these Terms

  • For fraud or abuse

  • For security concerns

  • For legal compliance

  • For non-payment

Termination does not relieve payment obligations incurred prior to termination.


16. DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Nevada.

Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Clark County, Nevada.

You consent to personal jurisdiction and venue in those courts.


17. CLASS ACTION WAIVER

You agree that any claim shall be brought solely in your individual capacity.

You waive any right to participate in:

  • Class actions

  • Representative actions

  • Collective actions

  • Private attorney general actions

to the fullest extent permitted by law.


18. CHANGES TO TERMS

We may modify these Terms at any time.

Updated Terms will be posted on this page.

Continued use of the platform after updates constitutes acceptance of the revised Terms.
